Terms of Sale
The commercial conditions that apply to quotations, orders and deliveries of bronze, brass and copper-alloy components supplied by Mete Prime.
Last updated: 6 September 2026
1. Scope
These conditions apply to all quotations, order confirmations and deliveries made by METE PRIME DOO, Ilino bb, 85000 Bar, Montenegro (TAX ID (PIB): 03794750), unless a separate written agreement between the parties says otherwise. They are addressed to business customers. Purchase conditions printed on a customer order do not apply unless we have accepted them in writing.
2. Quotations and Orders
Information on this website is an invitation to enquire, not a binding offer. A quotation becomes binding only when issued in writing and is valid for the period stated in it, normally 30 days. Prices are subject to confirmation of alloy, quantity, dimensions, machining scope and delivery condition. A contract is formed when we issue a written order confirmation.
3. Technical Basis of Supply
Components are produced to the drawing, sample, existing part or specification agreed at order stage. Where a customer supplies an application rather than a grade, the alloy proposed by us is a technical recommendation; final responsibility for confirming that the selected material and design suit the application remains with the customer, who knows the operating conditions.
- Only dimensions and tolerances marked on the agreed drawing are binding. Unmarked dimensions follow the applicable general tolerance standard.
- Rough and as-cast components are supplied with the machining allowance agreed in the order and are inspected against as-cast dimensions, not machined tolerances.
- Chemical composition is verified against the agreed specification. Values are reported within the tolerance bands of the applicable standard.
- Casting-related surface characteristics that do not affect function or the agreed acceptance criteria are not grounds for rejection.
4. Supply Conditions
Material can be ordered as semi-finished forms, rough / as-cast components, pre-machined parts or fully machined components, as described on the Supply Conditions & Machining Options page. The supply condition stated in the order confirmation defines what is delivered and what is inspected.
5. Quantities and Tooling
For cast items, a production tolerance of ±10% on the ordered quantity may apply and is invoiced as delivered, unless a fixed quantity is confirmed in writing. Patterns, core boxes and dedicated tooling remain our property unless the order states that the customer purchases them; a tooling charge does not by itself transfer ownership. Tooling is stored for as long as the item remains in repeat production and for a reasonable period afterwards.
6. Prices, Taxes and Payment
Prices are quoted in the currency stated in the quotation and exclude VAT, customs duties and other charges, which are added where applicable. Payment terms are those stated in the order confirmation. Where prices depend on copper, tin, aluminium, nickel or zinc, they are based on the metal price at quotation date and may be adjusted if the market moves materially before production, on written notice.
7. Delivery and Transfer of Risk
Delivery terms are agreed per order according to Incoterms® 2020 and stated in the order confirmation. Risk passes in accordance with the agreed Incoterms rule. Delivery dates are given in good faith and are estimates based on the production plan at confirmation; we notify the customer promptly of any material change. Partial deliveries are permitted where reasonable.
8. Retention of Title
Delivered goods remain our property until payment has been received in full, to the extent this is permitted by the law applicable at the place of delivery.
9. Inspection, Claims and Documentation
The customer should inspect goods on arrival. Visible defects, shortages or transport damage must be notified in writing without undue delay and in any case within 10 working days of delivery; hidden defects within 10 working days of discovery. Claims should identify the order number, the affected quantity and the deviation from the agreed specification, with photographs or measurement records where relevant. Material certificates, chemical analysis records and dimensional reports are supplied when they are agreed in the order.
10. Remedies and Liability
Where a claim is accepted, we will at our option repair, replace or credit the affected goods. Our liability is limited to the invoice value of the goods concerned. We are not liable for indirect or consequential loss, including loss of production, loss of profit or the cost of removing and refitting a component, except where liability cannot be limited by law or where the damage results from our gross negligence or wilful misconduct.
11. Returns
Custom-produced components are made to the customer’s own specification and are not returnable except where a claim under section 9 is accepted. Standard semi-finished stock may be returned only after written agreement, unused, in original condition, and may be subject to a restocking charge.
12. Confidentiality and Intellectual Property
Each party keeps the other’s technical and commercial information confidential. Drawings and specifications supplied by the customer remain the customer’s property and are used only for the purpose of quotation and production. Where a design is developed by us, rights in that design remain with us unless otherwise agreed in writing.
13. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural events, fire, war, industrial action, energy or raw material shortage, transport disruption and acts of authorities. Affected obligations are suspended for the duration of the event.
14. Export Control and Compliance
The customer confirms that goods will be used and, where applicable, re-exported in compliance with all applicable export control and sanctions rules. Orders may be declined or suspended where compliance cannot be established.
15. Governing Law and Jurisdiction
These conditions are governed by the law of Montenegro, excluding its conflict of law rules. The courts of Bar, Montenegro have jurisdiction, without prejudice to any mandatory consumer or local rule that may apply. The parties may agree arbitration in a separate written contract.
